6. The major legal issue

This is especially important if the project will be offered publicly in the Philippines.

Under the Philippine Securities Regulation Code, securities include shares, participation or interests in a commercial enterprise or profit-making venture, including investment contracts and certificates of participation in profit-sharing arrangements. (Senate Legislative Database)

Therefore, a structure marketed as:

“Invest ₱X → we plant/manage the trees → you receive a share of the future profits”

could potentially fall within securities/investment-contract regulation.
